2. Services Provided
Relaxed Agent offers real estate transaction coordination and website solutions for real estate professionals in California.
Transaction Coordination Services
Our transaction coordination services include managing real estate transaction documentation, compliance reviews, deadline tracking, and communications related to the transaction. We are not responsible for the legal, tax, or financial outcomes of any transaction. The agent is responsible for providing accurate information, ensuring contract compliance, and making all final decisions on behalf of their clients. Transaction coordination services do not replace legal or professional advice.
Website Solutions
Our website solutions are built using Webflow. Upon completion, ownership is transferred to the client, who assumes full responsibility for ongoing hosting, maintenance, and content updates. You agree to Webflow's Terms of Service, which can be reviewed at webflow.com/legal/terms. Relaxed Agent is not liable for hosting issues, downtime, or changes to Webflow's policies once the site is transferred.
3. User Responsibilities
By using our services, you agree to:
- Provide accurate and complete information
- Comply with all applicable federal, state, and local laws
- Use our services only for legitimate business purposes
- Respond to requests for information or documentation in a timely manner
- Maintain the confidentiality of any login credentials we provide or create on your behalf
You are solely responsible for the accuracy of all transaction details, client information, and documents you provide to us.
4. Payment and Fees
Transaction Coordination
Fees for transaction coordination services are outlined in your service agreement. Unless otherwise agreed, fees are paid through escrow at closing. If a transaction fails to close, cancellation fees may apply based on the work completed.
Website Solutions
Fees for website solutions are outlined in your project agreement. Payment terms, including deposits and milestones, will be specified before work begins.
We reserve the right to modify our pricing at any time. Any changes will not affect services already contracted.
5. Intellectual Property
All content, trademarks, logos, and materials created by Relaxed Agent remain our property unless explicitly transferred in writing.
For website solutions: Upon final payment, ownership of the completed website design and content transfers to the client. We retain the right to display the work in our portfolio unless you request otherwise in writing.
For transaction coordination: Any templates, checklists, or proprietary systems we use remain our intellectual property and are not transferable.
You may not copy, reproduce, distribute, or create derivative works from our materials without permission.
6. Limitation of Liability
Relaxed Agent is not liable for any indirect, incidental, consequential, or punitive damages resulting from the use of our services. This includes, but is not limited to:
- Lost commissions or business opportunities
- Transaction delays or failures
- Errors in documentation provided by third parties
- Technical issues with third-party platforms (Webflow, DocuSign, transaction management systems, etc.)
Our total liability for any claim arising from our services shall not exceed the fees you paid for the specific service in question.
Transaction coordination services are administrative in nature and do not replace the judgment, expertise, or legal obligations of licensed real estate professionals.
7. Indemnification
You agree to indemnify, defend, and hold harmless Relaxed Agent, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of our services
- Your breach of these Terms
- Your violation of any law or regulation
- Any dispute between you and your clients, brokerages, or other third parties
- Inaccurate or incomplete information you provide to us
8. Service Availability
We strive to provide reliable services but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of our services at any time without prior notice.
For transaction coordination, we will make reasonable efforts to communicate any changes that may affect active transactions.
9. Electronic Communications
By using our services, you consent to receive communications from us electronically, including emails, text messages, and notifications through transaction management platforms. You agree that all agreements, notices, and communications we provide electronically satisfy any legal requirement that such communications be in writing.
10. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved as follows:
Informal Resolution: Before pursuing formal action, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Jurisdiction: Any legal action must be brought in the state or federal courts located in California, and you consent to the jurisdiction of such courts.
11. Termination
Either party may terminate services at any time with written notice.
For transaction coordination: If you terminate services during an active transaction, fees for work completed may still apply.
For website solutions: If you terminate a project before completion, you are responsible for payment of work completed to date. Deposits are non-refundable.
We reserve the right to terminate services immediately if you breach these Terms or engage in conduct that is harmful to our business or reputation.
12. Changes to Terms
We may update these Terms periodically. When we make changes, we will update the "Last Updated" date at the top of this page. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.
